1. Services Overview

The Arrai Group provides business readiness assessments, operational advisory services, documentation support, proposal and grant development, and related consulting services (“Services”).

Services are advisory and execution-support focused and are not legal, accounting, or financial advice, unless explicitly stated in a written agreement.

All Services are customized based on client-provided information and organizational context. No service is one-size-fits-all, and outcomes may vary.

2. Engagement With Multiple Service Providers

Certain Services require collaboration with third-party professionals, including but not limited to:

  • Financial advisors

  • Technical writers

  • Review specialists

  • Subject-matter consultants

By purchasing these Services, the client expressly consents to:

  • Working with multiple companies or independent professionals

  • Limited sharing of relevant business information solely for service delivery purposes

Only the minimum necessary information will be shared to complete the agreed-upon scope of work.

3. Confidentiality & Non-Disclosure

  • Confidentiality is taken seriously.

  • Non-Disclosure Agreements (NDAs) will be provided when required, depending on the Service and scope.

  • If an NDA is not requested or executed, standard confidentiality obligations still apply.

Clients are responsible for clearly identifying any information they consider highly sensitive prior to engagement.

4. Intellectual Property & Work Product Protection

All frameworks, tools, templates, analyses, methodologies, written materials, and deliverables created by The Arrai Group remain the intellectual property of The Arrai Group, unless otherwise stated in writing.

Clients are granted a limited, non-transferable license to use delivered materials internally for their business only.

Clients may not:

  • Resell, distribute, publish, or share work products externally

  • Represent The Arrai Group’s materials as their own

  • Use deliverables for competing services

5. Client Responsibilities

Clients agree to:

  • Provide accurate, complete, and timely information

  • Participate actively in sessions

  • Review deliverables within agreed timelines

Delays or incomplete information may impact outcomes and timelines.

6. Payment & Final Sale Policy

  • All sales are final for services.

  • No refunds are issued once a service has been purchased or a session has occurred.

  • Missed appointments, delays, or dissatisfaction based on expectations do not qualify for refunds.

7. Limitation of Liability

To the maximum extent permitted by Maryland law:

  • The Arrai Group is not liable for indirect, incidental, or consequential damages

  • Total liability is limited to the amount paid for the specific service

Clients acknowledge that business outcomes depend on multiple external factors beyond The Arrai Group’s control.

8. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.

9. Updates to Terms

The Arrai Group reserves the right to update these Terms at any time. Continued use of Services constitutes acceptance of updated terms.
